BDO registration after the deadline - what to do when a company is late with an entry?

The worst mistake an entrepreneur can make after discovering that they should have a BDO is to keep waiting. If a company is already operating to the extent of requiring an entry and only realised after time that a registration number should have been obtained earlier, two issues need to be separated. The first is regularise the formal status as soon as possible, One is the submission of an application for registration. The second is the realisation that subsequent registration does not act as a „turn back the clock”. BDO's official registration rules indicate that covered entities should apply for registration via an electronic form, and that operating without the required entry is a breach punishable by sanctions. This means that an entry after the deadline is necessary, but does not automatically remove the consequences of a previous action without an entry.

Can late registration with BDO still be done at all?

Yes. If a trader discovers that he or she is subject to the registration requirement, he or she should still apply for registration with BDO. Official BDO materials show the standard registration path: the application is submitted electronically through the BDO system, and the system also provides instructions for the application module. The fact that an entry should have been made earlier does not mean that it is no longer possible to obtain an entry after the deadline. On the contrary, later registration is necessary, because remaining still outside the register only increases the risk and prolongs the period of breach. In practice, the worst reaction to being late is to continue to operate „as if nothing had happened”.

Does a later registration protect against a penalty for an earlier failure to register?

Not automatically. This is the most important point that needs to be stated straightforwardly. The BDO's official knowledge base indicates that operating without the required entry in the register is punishable by an administrative fine of PLN 1 000 to PLN 1 000 000, and Biznes.gov.pl additionally reminds of the sanctions in the form of a fine or arrest for activities carried out in violation of the registration obligation. This means that a later registration puts the situation in order for the future, but does not in itself guarantee that the earlier infringement ceases to exist. From the company's point of view, the late registration is therefore a corrective and necessary action, but it should not be regarded as an automatic shield against liability for the period during which the activity was carried out without the required BDO number.

What do you need to do besides just register?

Registration itself is only the first step. If the company has been operating without an entry, it should immediately check whether there are any other outstanding issues in addition to the number itself: no BDO number on documents, no records kept, unpaid product obligations or shortcomings in reporting. This is particularly important because sanctions in BDO do not only concern the entry itself. The official BDO knowledge base also indicates penalties for failing to include the registration number on documents and for transporting waste without an entry in the register. In practice, this means that after a late registration, it is worth conducting an internal review of the entire BDO area rather than stopping at the application itself. The sooner a company gets the full scope of its obligations in order, the less risk there is of the problem coming out later in a wider scope during an audit or at the annual accounts.
